- 勅令第百四十二号 朕南満洲鉄道株式会社ニ関スル件ヲ裁可シ茲ニ之ヲ公布セシム 睦仁 内閣総理大臣侯爵西園寺公望 逓信大臣山縣伊三郎 勅令第百四十二号 第一条 政府ハ南満洲鉄道株式会社ヲ設立セシメ満洲地方ニ於テ鉄道運輸業ヲ営マシム 第二条 会社ノ株式ハ総テ記名ト為シ日清両国政府及日清両国人ニ限リ之ヲ所有スルコトヲ得 第三条 日本政府ハ満洲ニ於ケル鉄道其ノ附属財産及炭坑ヲ以テ其ノ出資ニ充ツルコトヲ得 第四条 会社ハ新ニ募集スル株式総額ヲ数回ニ分ツテ募集スルコトヲ得但シ第一回募集額ハ総額ノ五分ノ一ヲ下ルコトヲ得ス 株金ノ第一回ノ払込金額ハ株金ノ十分ノ一迄下ルコトヲ得 第六条 会社ハ本社ヲ東京市ニ支社ヲ大連ニ置ク 第七条 会社ニ総裁一人副総裁一人理事四人以上監事三人乃至五人ヲ置ク
